By accessing or using sectokenization.com (the “Site”), you agree to be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, you must not access or use the Site. These Terms constitute a legally binding agreement between you and The Vanderbilt Portfolio AG (“we,” “us,” or “our”), the operator of SEC Tokenization.
Nature of Content and No Professional Advice
SEC Tokenization provides regulatory intelligence and analysis regarding U.S. securities regulation as applied to tokenized digital assets. All content on this Site — including our coverage of SEC enforcement actions, offering exemption analysis, regulatory framework guides, and ATS market data — is provided for informational and educational purposes only.
Nothing on this Site constitutes legal advice, investment advice, tax advice, accounting advice, or a recommendation to buy, sell, hold, or otherwise transact in any security, digital asset, or security token. The regulatory landscape for tokenized securities is complex and evolving rapidly. The information on this Site reflects our understanding as of the publication date shown on each page, and may not reflect subsequent legal developments, SEC staff positions, no-action letters, or the specific requirements applicable to your situation.

Financial and Securities Information Disclaimer
Because SEC Tokenization publishes detailed analysis of securities regulations, securities offering exemptions, enforcement actions, and financial market data, we provide this expanded securities-specific disclaimer.
SEC Data Accuracy. We derive quantitative data from primary regulatory sources including the SEC EDGAR database, FINRA regulatory records, federal court filings, and Congressional records, as described in our Methodology. While we employ rigorous verification processes — including multi-source cross-referencing and periodic revalidation — we cannot guarantee that data sourced from the SEC EDGAR system, FINRA BrokerCheck, or third-party reporting databases is free from errors, omissions, or delays. The SEC EDGAR system is updated on a filing-by-filing basis and may not reflect amendments, withdrawals, or superseding filings at the time you access our content.
Securities Offering Data. Our analysis of Regulation D offerings, Regulation A+ qualification requirements, Regulation S offshore exemptions, and other offering exemptions is based on the federal securities statutes, SEC rules, and staff guidance in effect at the time of publication. Securities regulations change frequently. Offering structures that were permissible under guidance in effect at a prior date may be subject to different requirements today. We make no representation that any offering structure described on this Site is currently permissible under applicable law without independent legal verification.
Enforcement Data. Our SEC enforcement tracker draws from SEC Litigation Releases, Administrative Proceedings, and federal court dockets. Enforcement data — including penalty amounts, case outcomes, and disgorgement figures — may change as proceedings are appealed, settled, or dismissed. Cases filed under the Gensler administration (2021–2025) were subject to significant change under the Atkins administration beginning in 2025, with many actions withdrawn or dismissed. Historical data reflects the state of proceedings as of the dates indicated on individual pages.
ATS and Market Data. Data regarding registered Alternative Trading Systems (ATS), trading volumes, and tokenized asset market capitalizations is sourced from FINRA ATS transparency data, SEC Form ATS-N filings, and third-party market data providers. ATS registration status may change; users should verify current registration status through FINRA’s ATS list before relying on any platform-specific information.
No Howey Test Determinations. Our analysis of the Howey test and digital asset securities classification is editorial analysis only. Whether a particular token, digital asset, or investment scheme constitutes a security under the Howey test or any other applicable standard is a legal determination that depends on the specific facts and circumstances and must be made by qualified legal counsel. Nothing in our classification analysis constitutes a legal determination that any specific asset is or is not a security.
Accuracy and Disclaimer of Warranties
The information on SEC Tokenization is derived from primary regulatory sources as described in our Methodology. While we employ rigorous verification processes, we make no representations or warranties of any kind, express or implied, regarding the completeness, accuracy, reliability, suitability, or availability of any information, data, analysis, or related content on the Site.
The Site is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
We do not warrant that the Site will be available at all times, uninterrupted, secure, or free from errors, viruses, or other harmful components. We do not warrant that the results of using the Site will meet your requirements or expectations. Data derived from government databases may contain errors originating in the source data that we are unable to detect or correct.
Intellectual Property
All content on sectokenization.com — including text, data compilations, regulatory analyses, enforcement summaries, market data charts, graphics, logos, page layouts, and software — is the property of The Vanderbilt Portfolio AG and is protected by applicable U.S. and international copyright, trademark, and intellectual property laws. All rights not expressly granted in these Terms are reserved.
Permitted Use. You may access and read the content on the Site for your personal, non-commercial, informational use. You may print or download a reasonable number of pages for personal reference, provided you do not modify the content and retain all copyright and proprietary notices.
Prohibited Use. Without our prior written permission, you may not: (a) reproduce, distribute, modify, or create derivative works from any content on the Site; (b) publicly display or publicly perform any content; (c) republish, syndicate, or aggregate content from the Site; (d) use content from the Site in any commercial product or service; (e) systematically download, copy, or scrape content from the Site using automated tools; or (f) remove or alter any copyright notices or proprietary legends.
Data Compilations. Our curated datasets — including enforcement action summaries, ATS registration data, and token filing analytics — represent original editorial work and are protected as compilations under copyright law, even where the underlying regulatory data is in the public domain.

User Conduct
You agree not to use the Site in any manner that: (a) violates any applicable federal, state, local, or international law or regulation; (b) infringes or violates the intellectual property rights or any other rights of anyone else; (c) involves the transmission of any advertising, promotional materials, spam, or any other form of solicitation without our prior written consent; (d) involves the use of any automated system, including bots, scrapers, or data mining tools, to access the Site for any purpose without our express written permission; or (e) attempts to interfere with the proper functioning of the Site, including through denial-of-service attacks, injection of malicious code, or circumvention of security measures.

General Limitation. This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and regardless of whether we have been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion or limitation of liability for certain damages, our liability shall be limited to the maximum extent permitted by law. Our total liability to you for any claims arising under these Terms shall not exceed one hundred U.S. dollars ($100.00).

Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for the resolution of any disputes arising out of or relating to these Terms or your use of the Site.
Modifications to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Effective Date” at the top of this page. Your continued use of the Site after the effective date of the revised Terms constitutes your acceptance of the changes. We encourage you to review these Terms periodically.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent.
